1. Acceptance of Terms

By browsing this website, requesting a commercial quote, engaging our consulting services, purchasing digital templates, or approving a project proposal with HEX Automation Services (HAS), you agree to be bound by these Terms & Conditions. If you are entering into this agreement on behalf of a company or entity, you represent that you possess the authority to bind such entity.

2. Scope of Services & Quoting

HAS provides custom autonomous AI agent development, enterprise workflow pipelines, community bot systems, API bridges, and recurring SLA maintenance. All quotes generated via our Authoritative Pricing Engine or issued by our senior engineers remain valid for 14 calendar days from the date of generation unless otherwise specified in writing.

3. Payment Milestones & Invoicing

Commercial payment terms are established per project agreement:

• Custom Development Engagements: A 50% upfront deposit is required to schedule engineering sprints and allocate server infrastructure. The remaining 50% balance is due upon successful deployment and client verification.
• Digital Asset Templates: 100% full payment is required prior to automated repository or source package delivery.
• Monthly Retainer & SLA: Billed in advance on a recurring monthly cycle.

4. Client Responsibilities & Dependencies

Timely delivery depends on client cooperation. The client agrees to provide necessary API credentials, environment variables, documentation, and timely milestone approvals. Delivery timelines are automatically adjusted if client-provided credentials or feedback are delayed.

5. Intellectual Property Rights

Client Data & Workflows: The client retains 100% ownership of all proprietary business logic, training data, and trade secrets shared with HAS.

Custom Code Deliverables: Upon receipt of full payment, HAS assigns full perpetual license and ownership of the bespoke source code developed specifically for the client.

Internal Tooling & Frameworks: HAS retains ownership of its underlying modular frameworks, generic utility libraries, and pre-existing core architectures.

6. Acceptable Use Policy

Clients agree not to utilize HAS systems, bots, or agent architectures for spam generation, malicious security bypasses, unauthorized data scraping, distribution of unlawful materials, or deceptive automated operations.

7. Limitation of Liability

HAS engineers systems following rigorous Level 7 recovery ladders and zero-regression standards. However, HAS shall not be liable for indirect, incidental, or third-party service provider outages (such as upstream OpenAI, Google, Anthropic, or Discord API downtimes) beyond our direct technical control.
